Wholesale Terms & Conditions: |

1. GENERAL
These conditions shall form part of every contract of sale entered into by Unique-Kids Ltd ("The Company") unless excluded or varied with the Company's prior written consent. |

2. ORDERING
We accept orders by phone, fax, e-mail, via our web site or in writing and we ask that you state the quantity product name, delivery and invoice address and where to send the order acknowledgement. An acknowledgement of your order will automatically follow.
Carriage is free on all orders with a net value of £200 and over to all areas of the UK. Carriage is chargeable on all export orders and a quotation can be supplied on request. Carriage will be charged on all orders to private addresses irrespective of value. |

3. PRICES
All prices quoted are ex-works and exclusive of VAT which will be charged at the rate ruling at time of dispatch. Children's clothing is exempt but some accessories and gift-wear are not. Please check at the time of ordering if you are unsure.
Our wholesale price list is valid for all customers unless a discount has been agreed in writing (a quotation). We reserve the right to amend prices at anytime. Any written quotation for wholesale orders will be valid for 30 days from the date of the quotation. |

4. PAYMENT
Unless otherwise agreed in writing prices quoted are strictly net and payment shall be cash with order or credit card. No credit can be offered at this time. |

5. CANCELLATION OF ORDERS
Please ensure confirmations of telephone or faxed orders are clearly marked to avoid duplication otherwise we cannot be held responsible and returns under these circumstances are subject to a minimum 15% handling charge plus outward and inward carriage charges.
Cancellations will only be accepted in writing. However, should the goods have been dispatched they will be subject to a 25% handling charge. |

6. DELIVERY/COLLECTION
Our carriers will only deliver goods to the delivery address on their document.
Upon receipt please check the number of cartons and sign for the goods "unexamined". If any damage is apparent please sign as "damaged". Shortages and/or damage must be reported to us in writing WITHIN 3 WORKING DAYS otherwise we reserve the right to retain payment. If damage has been sustained please retain all packaging, as our carriers will refuse to uplift unpackaged goods.
If you wish to collect goods from us, please state this on your order together with the name and telephone number of the person who will be collecting them. This person will be contacted once the goods are ready for collection.
Occasionally we will hand-deliver goods to locations close to our premises.

7. FAULTY/DAMAGED GOODS
If any product is faulty/damaged upon receipt please contact us immediately and if the matter cannot be sorted out on the phone we will arrange the collection. We will not however supply replacement goods at this point prior to inspection. |

8. SALE OR RETURN
Under certain circumstances goods will be dispatched to you on sale or return basis, after prior agreement with the Company. The maximum value of stock that can be held on a sale or return basis is £350 (plus VAT).
Sale or return will only be offered to customers within a 50 mile radius of the Company after inspection of the premises to ensure they are suitable for storage of the Company's goods.
All goods remain the property of the Company until monies have been received by the Company with respect to the goods, but the risk in any such goods shall pass to the customer in accordance with paragraph 9 of the Sale of Goods Act 1979.
Each month the Company will contact you for a breakdown of items sold. Commission will be deducted at 25% and the remaining value of good sold will be invoiced for immediate payment. Credit cards will not be accepted for payment of Sale or Return accounts. If the value of goods sold in the month is less than £20.00 the Company reserves the right to carry the balance to the next month without payment.
All outstanding accounts at 15 days after the date of the invoice will be subject to interest charges at the rate of 2% per month or part thereof or pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 whichever shall give the greater rate. If the account remains outstanding at 30 days any goods remaining in your possession will be collected and returned to the Company.
Goods sold will be replaced at your request.
All Sale or Return outlets will be visited by the Company for a stock take a minimum of two times per year. The date will be agreed with yourself in advance and you agree to make all stock available for inspection. We would stress that once the goods are in your possession they are your responsibility and should they become lost/damaged or neglected whilst with you, then we will have to charge you for the whole item(s) or for making the product(s) into a resalable condition again. We encourage you to ensure that the goods in your possession are covered under your insurance for any damage.
In the event of a sale or return customer going into receivership or liquidation, the Company are entitled to cancel the Sale or Return agreement and collect any unsold goods. If goods have been sold and not paid for, the price becomes immediately due and is payable. |

9. COPYRIGHT AND TRADEMARKS
Unique-Kids™ is a registered Trademark of Unique-Kids Ltd. Any use of the trademark or logos pertaining to the Company in any written material or on the internet is strictly prohibited unless with express written consent of the Company. Any breach of the trademark or copy of any of our designs will lead to immediate legal action being taken. |
